Christian Chandler focuses on the executive compensation and employee benefits aspects of merger and acquisition transactions, with a particular emphasis on transactions involving financial institutions. He routinely advises both companies and individuals on the impact of golden parachute taxes under Section 280G in such transactions and works with clients to mitigate this impact where possible.
Christian regularly helps both public and private company clients across industries in navigating the complex regulatory requirements applicable to compensation plans such as employment contracts and severance programs, equity compensation plans, nonqualified deferred compensation arrangements, and tax-qualified plans (with a special focus on employee stock ownership plans). Christian also works with the IRS and Department of Labor to resolve any compliance issues that may arise with such plans.
In addition, Christian assists public company clients with their SEC disclosure obligations related to executive compensation matters and works with financial institutions to ensure compliance with the various bank regulatory requirements imposed upon their executive compensation plans and programs.
Has acted as lead executive compensation counsel in over 40 whole institution mergers within the financial services industry.
Routinely represents individual banking executives in the negotiation of employment agreements and other compensation arrangements.
