Sarah Branch advises both public and private companies on a range of corporate and securities matters, including public and private securities offerings, securities law compliance, corporate governance matters, and mergers and acquisitions.
Sarah regularly counsels clients on capital markets transactions, including registered public offerings, private placements, and offerings under Rule 144A and Regulation S. Sarah also has experience advising clients on SEC disclosure requirements as well as ongoing disclosure obligations under NYSE and NASDAQ.
Prior to joining Hogan Lovells, Sarah worked at an economic consulting firm, where she performed statistic modeling for corporate legal controversies. Sarah graduated from Georgetown University Law Center, where she was a legal writing fellow and a student editor of the ABA-sponsored journal The Tax Lawyer. Before law school, Sarah attended New York University as a Presidential Honors Scholar and graduated magna cum laude with dual degrees in Economics and Psychology.

Represented VICI Properties, Inc. in its US$17.2bn acquisition of MGM Growth Properties.
Represented the Commonwealth of The Bahamas on its US$750m bond offering (its first bond offering in almost four years) and subsequent US$600m bond offering.
Represented VICI Properties Inc. in its aggregate US$4.75bn senior unsecured notes offerings and US$662m forward offering of common stock.
Represented Brixmor Property Group Inc. in its US$400m at-the-market issuance of common stock with a forward component.
Represented Marvell Technology Group Ltd. in its US$2bn Rule 144A/Reg S investment grade notes offering and concurrent exchange offers and consent solicitations.
Represented McCormick & Company, Inc. in its aggregate US$1bn new debt issuance.
