Hogan Lovells L.A. Partner Named a Variety Dealmaker of the Year
Sheri received recognition for her work this year with companies and organizations around the world, including, among other clients, advising Luc Besson’s EuropaCorp., 21st Century Fox, and newly formed film studio, Studio 8.
In Sheri’s first major deal this year involving EuropaCorp, a top-tier European film studio, she advised them on the formation of a U.S. joint venture with Beverly Hills-based Relativity Media. Under terms of the deal, EuropaCorp paid approximately US$130 million, anticipated to be paid over a six year timeframe, for a 50 percent stake in the joint venture. Relativity Media owns the other 50% of the joint venture. Each company will exclusively use the services of the joint venture, will directly distribute its own films, and based on their prior successful co-production partnership, will also have the opportunity to co-produce each other’s future films under the agreement. The deal with longstanding client 21st Century Fox involved the formation of a joint venture with Apollo to create a leading multi-platform content provider, bringing together Endemol, Shine Group and CORE Media. Under the terms of the agreement, 21st Century Fox and Apollo will jointly manage the newly created group, with each owning 50 percent. The group’s businesses will have creative operations in over 30 markets, with a diverse portfolio of over 600 formats, both scripted and non-scripted, coupled with digital, gaming, and distribution operations. In her second major deal this year with EuropaCorp, Sheri advised the French film company co-founded by Luc Besson on its US$600 million credit facilities. In large part to support plans for a larger slate of English-language movies, EuropaCorp arranged for US$600 million in financing, including a US$400 million senior line of credit with a US$150 million accordion to allow for future expansion and a US$50 million second lien credit facility. Overall, the facilities triple EuropaCorp’s finance ability. Finally, in one of the biggest media and entertainment developments in recent years, Sheri Jeffrey represented Studio 8 Holdings, LLC in the launch of its wholly-owned subsidiary, Studio 8, a new film and television studio run by Jeff Robinov, former long-time head of Warner Brothers Motion Picture Group. The multi-party transaction totals US$1 billion, including US$200 million in equity funding from China’s Fosun International, with an additional US$50 million from Sony Pictures Entertainment, and a credit facility closed in early October from a bank syndicate led by JPMorgan Securities and including Union Bank, CIT OneWest Bank and Bank of America. Studio 8 is expected to produce at least five major releases a year in a range of budgets and multiple genres. Fosun International is expected to lend its expertise in the Greater China market to Studio 8 and how it develops productions that meet demand there.
