Kaela Colwell counsels clients on the formation and operation of private equity, debt, and venture capital funds focused on a variety of sectors, including renewable energy, agriculture, healthcare, technology, and social enterprise. In addition to assisting established and first-time fund managers with legal and regulatory matters, Kaela advises individuals and institutions on potential investments and negotiations with fund sponsors.

Kaela has particular experience assisting clients throughout the Small Business Investment Company (SBIC) licensing process. She also has experience representing a syndicate of international development institutions in their financing of a renewable energy project in Western Asia.

During her time at the firm, Kaela has worked with small enterprises on a variety of formation and governance issues. As a summer associate in Hogan Lovells' San Francisco office, she represented start-up companies and venture capital firms in their capital-raising and financing transactions. Kaela also gained valuable experience working on small business matters while in law school. As a member of Georgetown's Social Enterprise and Nonprofit Law Clinic, she advised a nonprofit organization on the restructuring of its chapters and drafted an operating agreement and ancillary agreements for a limited liability company.

Kaela is a recipient of the CALI Award for Excellent Achievement in the Study of Governance of Nonprofit Organizations and served as an executive editor of the Georgetown Environmental Law Review. She is also a founding member and former director of a small nonprofit in Berkeley, California.
