With considerable experience in both raising and deploying capital, Adam Brown understands the legal and business needs of private investment funds. He regularly advises clients on various acquisition and disposition structures, including auctions, mergers, stock and asset sales, and leveraged buyouts.

With a focus on securities and investment transactions for private equity funds and their portfolio companies, Adam helps his clients achieve their business objectives by implementing creative transaction structures designed to align incentives and mitigate risk.

He has years of experience advising private equity firms in all aspects of their operations, including domestic and cross-border mergers and acquisitions, co-investments, joint ventures, capitalization and recapitalization transactions and the ownership, and operation and disposition of portfolio company investments. Adam also represents domestic and international private fund sponsors regarding their formation, regulatory compliance, and fundraising activities.

While in law school, Adam served as an executive editor of the Georgetown Law Journal.
