William Neff's practice is principally devoted to executive compensation, employee benefit plans, and employee benefits in mergers and acquisitions.

Bill advises clients on a wide range of employee benefit matters, including executive compensation, qualified pension, profit sharing, and employee stock ownership plans, as well as non-qualified deferred compensation plans arrangements and equity compensation plans. Bill also has substantial experience advising clients on fiduciary liability issues under the Employee Retirement Income Security Act (ERISA) and comparable state statutes.

Additionally, Bill counsels clients on the tax treatment of damage recoveries and structuring settlements.

Prior to joining Hogan & Hartson in 1990, Bill served as a law clerk to the Honorable Warren H. Young, U.S. District Court for the Virgin Islands. Bill has also served as an Assistant Attorney General for the U.S. Virgin Island. Bill commenced the private practice of law in 1976.

REPRESENTATIVE EXPERIENCE
  • Advised a company engaged in the acquisition of 50 businesses in a “roll-up” transaction regarding the coordination of qualified retirement plans, including plan mergers and plan terminations to implement the business combinations.
  • Assisted clients with cash out and assumption of options in merger context, including with tender offer issues raised by cashout.
  • Drafted employment agreements with change of control protections for the CEO and other senior executives of companies traded on the New York Stock Exchange (NYSE) and the National Association of Securities Dealers Automated Quotation (NASDAQ).
  • Assisted numerous NYSE and NASDAQ-traded companies with revising stock incentive plans to include omnibus features, in addition to restricted stock, such as stock appreciation rights (SARs), stock units, and dividend equivalent rights.
  • Prepared a performance share plan based on multiyear performance targets in compliance with the exception for performance-based compensation to the limitations on deducting compensation in excess of $1 million for top executives of a publicly traded company.
