Robert J. Waldman is a leader of our Commercial practice area, which focuses principally on general corporate representation and on counseling a variety of commercial clients. Since Bob joined the firm in 1974, he has been actively representing U.S. and multinational companies in corporate, securities, finance and general business matters. His clients include corporations in the healthcare, insurance, medical device and life sciences sectors, including both for-profit and non-profit companies. He also has represented government contractors and technology and services companies in various sectors.

Bob represents clients in a wide range of transactional and commercial matters. He handles mergers, acquisitions and other business combinations, change in control matters, stock accumulations and various financings. He advises boards of directors and special committees of boards on significant transactions and corporate governance, and other matters raising fiduciary duty and business judgment issues. He works closely with general counsel and other members of senior management of companies in ongoing corporate matters, including the drafting and negotiation of complex commercial agreements.

Following graduation from law school, Bob served for three years as an assistant to the general counsel of the U.S. Army. At the Pentagon, Bob advised and assisted the Office of the Secretary of the Army on legal and policy matters involving special investigations, domestic and foreign counterintelligence and investigative activities, defense procurements, congressional relations, and the Freedom of Information Act. He also served as the Army's legal representative on the staff of the Defense Investigative Review Council.

Bob was an editor of the Harvard Law Review and Chairman of the Duke University Symposium.
