Oxana Balayan is the managing partner in Moscow and head of the corporate practice of Hogan Lovells (CIS). She is a Russian and English qualified lawyer specialising in cross-border mergers and acquisitions, corporate finance, joint ventures and private equity transactions in Russia. Oxana advises a variety of major international and Russian clients. Her work involves a wide range of industries, including retail, media, pharmaceuticals, financial services, automotive and real estate.
Oxana was featured as the Dealmaker of the Week by The American Lawyer in December 2010 for her lead role on the US$1.65bn acquisition of Kopeyka retail chain by X5 Retail Group and has been nominated for the inaugural Euromoney "European Women in Business Law" Awards 2011 as Best in M&A.
REPRESENTATIVE EXPERIENCE
- Advising X5 Retail Group, a retail branch of Alfa Group listed on the London Stock Exchange and Russia's largest retailer in terms of sales, on its strategic expansion in Russia, including advising on the acquisition of the Kopeyka retail chain for a total of US$1.65bn (the biggest ever acquisition in the Russian retail sector), on the US$2.5bn merger of two major Russian retail chains Pyaterochka and Perekriostok, on the US$940m acquisition of Karusel, a major Russian hypermarkets chain (one of the largest domestic M&A transactions in Russia in 2008), on the acquisition of Paterson supermarket chain (the largest M&A transaction in the Russian retail sector in 2009), on the acquisition of about 85 shopping premises and one pharmacy warehouse of Mosoblpharmacia as well as on the launch of its e-commerce retail business by way of establishing a joint venture with the owners of the leading Russian Internet platform and subsequent exist from the business
- Advising Rostelecom, the leading Russian telecom company, on its acquisition of over 70% of National Telecommunications (NTK), the largest independent cable TV operator and information provider in Russia
- Advising Prof-Media Group, a major Russian media holding, on a US$360m acquisition of MTV Russia and VH1 Russia TV networks, on a sizeable acquisition of the Russian TV broadcasting company TV3 and on its acquisition of a 100 % stake in the Rising Star Media, the owner of the Kinostar de Lux cinema network
- Advising Sinara Group, a Russian major diversified holding and part of TMK Group, on the establishment of two strategic joint ventures with Siemens AG to manufacture and sell locomotives and high speed "Desiro RUS" trains designed to provide transportation for Sochi 2014
- Advising Mitsubishi Corporation on the establishment of its Russian distribution joint venture with Russia's largest car importer, distributor and retailer, the Rolf Group
- Advising RUSNANO, an open joint stock company founded through reorganization of state corporation Russian Corporation of Nanotechnologies, on a number of projects in the nanotechnology sector in Russia and overseas
