Margaret de Lisser, an employee benefits and executive compensation partner in the Washington, D.C. office, has more than 20 years of practice experience in a wide range of compensation and benefits areas, including qualified retirement plans (notably cash balance and floor-offset plans, as well as defined contribution plans such as 401(k) plans), nonqualified deferred compensation arrangements, health and welfare programs, equity compensation arrangements and employment and separation agreements. Ms. de Lisser serves mainly large and mid-sized clients, most of which are public companies, but has substantial experience counseling early stage companies, mature private companies and not-for-profit organizations.

Among her areas of focus are design, restructuring, non-discrimination testing and fiduciary compliance for retirement plans and section 409A compliance of deferred compensation programs. She advises clients on tax and securities issues related to equity-based compensation, including stock options and stock appreciation rights, restricted stock and stock units and employee stock purchase plans, and she regularly assists clients in preparing SEC compensation disclosures. Ms. de Lisser negotiates employment and severance agreements on behalf of clients, and she has substantial experience with all facets of the employee benefits aspects of the sale and acquisition of businesses.

Ms. de Lisser chairs the Pension Committee of Hogan Lovells US LLP. From time to time, she has been a lecturer on retirement plan and equity compensation issues for the Western Pension & Benefits Conference and the American Bar Association. Prior to joining the firm in 2000, Ms. de Lisser was a partner in the San Francisco office of a major law firm.
