Jeff Hurlburt is co-head of the Hogan Lovells private equity and venture capital practice. Jeff regularly advises companies, private equity firms, and multinational investment banks in connection with U.S. and international corporate finance matters (including private placements, fund raisings, and public offerings), mergers and acquisitions, investment fund formations, and general corporate counseling. His clients are active in a variety of highly-regulated industry sectors including the TMT, Life Sciences and Energy sectors.
Jeff has extensive experience representing clients across Europe and in the United States in domestic and transatlantic private equity and venture capital transactions, as well as representing issuers and investment banks in U.S. and international public offerings and private placements (including Rule 144A, Regulation S, and dual listed transactions). He also has significant experience advising on a wide variety of negotiated transactions, including mergers and acquisitions, divestitures and joint venture arrangements, as well as the establishment of investment funds including European and U.S. investors.
REPRESENTATIVE EXPERIENCE
- Advising Doughty Hanson and other venture capital owners in the $123m sale of Alphamosaic Limited to U.S. publicly-traded Broadcom, Inc.
- Advising Index Ventures on a variety of European and U.S. venture capital transactions.
- Advising Northzone Ventures on several of their new money investments as well as several of their portfolio companies, including a new money investment and Delaware "flip" structure of a Finnish technology company called Supponor Inc. and first round funding in Imagini Ltd (UK).
- Advising the investor group led by Herkules Capital on the $900m (€662.9m) acquisition of Nordic oil and gas service company, Aibel Limited, from a private equity syndicate comprised of Candover, 3i, and JPMorgan Partners. This is one of the largest leveraged buyouts ever by a Norwegian private equity firm.
- Represented Herkules Capital in the formation of three Nordic-region focused buyout funds with aggregate commitments totalling approximately NOK 12.25bn.
- Represented Pronova Biopharma ASA in its NOK 2.7bn initial public offering on the Oslo Stock Exchange, including a Rule 144A private placement into the United States.
