Helen Atkeson practices in the areas of public finance, project finance, public private partnerships, securities law, and general corporate law.
Her experience includes financing work for a wide variety of public, nonprofit, and private entities, including states, state transportation and financing authorities, cities, counties, private and public higher education institutions, healthcare institutions, private and public corporations, other 501(c)(3) borrowers, special taxing districts, and various other issuers of debt. She has worked on a broad range of financings, including revenue-based obligations, asset-backed debt and other structured financings, significant restructurings, development and redevelopment projects, and lease purchase financings. Helen has served as counsel to a number of national and regional investment banking institutions in connection with their underwriting and advisory activities.
Helen spent her first year after law school clerking for The Honorable Antonin Scalia, then on the U.S. Court of Appeals for the District of Columbia Circuit (now an Associate Justice of the U.S. Supreme Court).
Helen previously served as Treasurer, a member of the board of directors, and the President of the National Association of Bond Lawyers (NABL). She actively participated in the comments prepared by NABL on the then proposed SEC rule 15c2-12. She chaired the NABL Seminar on New SEC Disclosure Requirements in January 1995, co-authored the NABL Handbook on Rule 15c2-12, and was a member of the primary drafting group for the "Disclosure Roles of Counsel" book published by the American Bar Association and National Association of Bond Lawyers. Helen also served as co-chair of the Electronic Disclosure Subcommittee of NABL. Helen is a frequent faculty member for national seminars in her areas of concentration and has co-authored articles on securities disclosure issues. She also previously served for three years as a trustee for the State Colleges of Colorado.
REPRESENTATIVE EXPERIENCE
- Serves as PPP advisory and disclosure counsel to the Colorado High Performance Transportation Enterprise created, pursuant to enabling PPP legislation, in the Colorado Department of Transportation.
- Served as underwriter's counsel in connection with revenue bonds and certificates of participation to fund numerous highway and transit programs in Colorado and New Mexico for issuers including the New Mexico Finance Authority and Regional Transportation District.
- Served as underwriter's counsel in connection with bonds issued to finance loans from the public project revolving fund of the New Mexico Finance Authority.
- Served as disclosure counsel to the State of Colorado for the lease purchase financing at the Fitzsimons Campus of the University of Colorado Health Sciences Center and to Colorado higher education institutions in connection with their financings.
- Serves as disclosure counsel to the Colorado Housing and Finance Authority in connection with its single-family, multi-family, and commercial loan programs.
- Serves as disclosure counsel to the Colorado Water Resources and Power Development Authority in connection with its clean water and drinking water revolving fund programs.
- Serves as outside counsel to CollegeInvest, a division of the Colorado Department of Higher Education, in connection with its Section 529 college savings programs.
- Served as underwriter's counsel in connection with financings involving the University of Idaho, Georgia State University, University of San Diego, Texas Lutheran University, and Johnson and Wales University.
