Gordon Wilson's practice focuses on bank finance transactions in the business and finance practice area.
Gordon has extensive experience in structuring, negotiating, and closing all types of financing transactions, including acquisition financings, leveraged buyouts, equipment financings and lines of credit. His core experience includes middle market acquisition financings, credit facilities for public and private companies, financings for investment grade and non-investment grade issuers, asset based lending transactions, multicurrency facilities and mezzanine financings. He also regularly advises clients on collateral issues arising under the Uniform Commercial Code. His transaction experience covers a wide range of industries, including the energy, telecommunications, entertainment, retail, consulting, healthcare, agriculture, manufacturing, and real estate sectors, and involves extensive experience representing real estate investment trusts in financing transactions.
In his practice, Gordon routinely coordinates closely with firm attorneys specializing in mergers and acquisitions, debt capital markets, real estate and bankruptcy and restructuring. His background also includes significant experience with international project financings and export credit agency financings, with a particular focus on Brazil.
Prior to joining the firm, Gordon was an associate in the New York office of a major law firm and held internships at the US Department of Justice Civil Division, the Overseas Private Investment Corporation, and the representative office of the US Department of State in Taipei, Taiwan.
REPRESENTATIVE EXPERIENCE
- Representation of a public satellite launch and manufacturing company with an extensive government contracting business in a series of secured syndicated and club bank financings for over ten years.\
- Representation of major retail mall operator in corporate-level syndicated loan transactions involving an initial syndicated loan of over $1 billion, subsequent work-out restructurings, and an eventual refinancing after consummation of a strategic sale transaction in which the company was taken private.
- Representation of a private equity firm in various portfolio company acquisition financings, including the acquisition of an outdoor advertising business, a fast food restaurant chain and a specialty retailer.
- Representation of an investment fund in a $150 million financing of its Asian real estate investment portfolio.
- Representation of a major public meat products company in a both a U.S. refinancing involving a $1 billion secured asset based revolving credit facility and a concurrent secured bond issuance of $400 million as well as a subsequent refinancing of its €300 European credit facility.
