David Gibbons is a Senior Partner in our Mergers & Acquisitions practice and a member of our global Board. He served as the head of our Corporate and Finance practice for seven years. David offers pragmatic advice to multinational corporations, private equity funds, investment banks, high net worth individuals and growth stage enterprises on highly complex deals. He focuses his practice on cross-border and multijurisdictional transactions.

Clients rely on David to handle complex mergers, acquisitions, divestitures, joint ventures, strategic alliances, private equity investments, exits, securities, and complex licensing arrangements. He represents a diverse array of clients, from some of the world's largest corporations, to private equity funds, and start-up ventures. David advises issuers, underwriters, boards, and shareholders on securities issuances, reporting and disclosure issues, and general corporate governance matters.

David provides practical, results-driven advice and through his firm leadership roles has a deep understanding of the capabilities Hogan Lovells can bring to its clients. David is immersed in his clients' industries, and is a member of the global industry groups at Hogan Lovells, including Aerospace & Defense; Life Sciences and Health Care; Automotive and Mobility; Diversified Industrials; Private Capital; and Technology, Media, and Telecoms.

Active in numerous pro bono and community activities, David serves on the boards of the Eudowood Foundation, the Baltimore Area Council, Boys Scouts of America, and CollegeBound. He is a graduate of the Greater Baltimore Committee's LEADERship Program.

Representative experience

Represented Bridgestone Americas, Inc. in connection with its US$391m acquisition of Azuga Holdings, Inc. from Sumeru Equity Partners.

Represented Lockheed Martin on acquisitions, divestitures, securities offerings, joint ventures, and other matters, including its terminated US$4.4bn acquisition of Aerojet Rocketdyne.

Represented Helsinn Group on its US$2bn strategic collaboration with BridgeBio affiliate, QED Therapeutics, to co-develop and commercialize Infigratinib in oncology indications.

Represent HRH Prince Alwaleed and Kingdom Holding Company in  several investments, including the pending rollover of $1.9 billion investment in Twitter.

Represented ABS Capital Partners in the acquisitions of Alarm.com from Microstrategy Incorporated and ConnectYourCare LLC from Express Scripts.

Represented PPG Industries in the US$2.3bn acquisition of Consorcio Comex, S.A. de C.V.

ABS Capital Partners in investments in Ignite Media Solutions, InVision Holdings, Florida Tower Partners, Syncapse, Vibrant Media, and Zoom Media.

Represent Vane Line Bunkering in connection with numerous capital raising and other financing transactions.

Represented ABS Capital in the US$136m investment by Technology Crossover Ventures in Alarm.com.

Helsinn Group in connection with acquiring worldwide rights to Valchlor© / Legada© from Actelion Pharmaceutical, Ltd., the acquisition of Sapphire Pharmaceuticals and numerous other transactions.
